CrowdPays™ Inc. AFFILIATE SALESAGREEMENT

(Updated 1/26/2026 – Affiliate Sales Only)

THIS AFFILIATE SALES AGREEMENT (the “Agreement”) is entered into by and between CrowdPay™ Inc., dba CrowdPays™, a Georgia corporation with offices at 500 Northside Dr. NW, Suite PP05, Atlanta, Georgia 30309 (“Company,” “CrowdPays,” “we,” “us,” or “our”), and ________________________, an individual or entity located at ________________________ (“Affiliate,” “you,” or “your”).

This Agreement governs your participation in the CrowdPays™ Affiliate Sales Program (the “Program”).

1. PURPOSE OF AGREEMENT

This Agreement is strictly for affiliate sales representatives who market and sell access to the CrowdPays™ Automated Bill-Pay Platform.

This Agreement does not apply to:

  • CrowdPays™ members

  • Member referral programs

  • “Tell-a-friend” or household referral benefits

Affiliate commissions are earned only under the terms stated herein.

2. DEFINITIONS

For purposes of this Agreement:

(a) “Qualified Client”
A household or individual that:

  1. Enrolls in CrowdPays™ through an Affiliate’s tracking link or assigned referral method,

  2. Completes onboarding and inputs their household expenses, and

  3. Successfully completes two (2) consecutive weekly bill-pay deposits.

(b) “Active Client”
A Qualified Client who remains enrolled, funded, and in good standing on the CrowdPays™ platform.

(c) “Affiliate Account”
The internal account used by CrowdPays™ to track Affiliate referrals and commissions.

3. AFFILIATE RESPONSIBILITIES

You are solely responsible for:

  • Your marketing methods

  • Compliance with all applicable laws

  • Ensuring representations about CrowdPays™ are accurate and approved

You may not:

  • Misrepresent earnings

  • Present yourself as an employee or agent of CrowdPays™

  • Offer guarantees not authorized by the Company

4. AFFILIATE COMMISSIONS

4.1 Initial Enrollment Commission

Affiliate will earn a one-time commission of $250 for each Qualified Client after the client has:

  • Enrolled,

  • Added their expenses, and

  • Completed their first two (2) weekly bill-pay deposits.

No commission is earned if the client fails to complete these steps.

4.2 Ongoing Monthly Residual Commission

Affiliate will earn $100 per month for each Active Client for up to twelve (12) months, beginning the first full month after the client qualifies.

  • Maximum residual duration per client: 12 months

  • Maximum lifetime residual per client: $1,200

Residual commissions stop immediately if the client cancels, pauses, or falls out of good standing.

4.3 Commission Payment Schedule

  • All affiliate commissions are calculated weekly

  • Payments are issued once per week on Fridays

  • Payments are made via the method designated by CrowdPays™

  • CrowdPays™ reserves the right to withhold payment pending tax documentation or fraud review

5. NO DUAL ROLE – AFFILIATE VS. MEMBER (STRICT)

5.1 Exclusivity Rule

An individual may not act as both:

  • a CrowdPays™ Affiliate, and

  • a CrowdPays™ Member receiving referral benefits

No exceptions. No stacking. No hybrid participation.

5.2 Affiliates as Users

Affiliates may enroll as CrowdPays™ users only as customers, but:

  • They may not receive or participate in member referral benefits

  • They may not reduce their own expenses via member referrals

  • Affiliate commissions cannot be combined with member incentives

5.3 Forfeiture Requirement

If an Affiliate wishes to participate in CrowdPays™ member referral benefits, they must:

  1. Formally resign as an Affiliate, and

  2. Forfeit all future affiliate commissions

Re-enrollment as an Affiliate requires Company approval.

6. PAYMENT CONDITIONS AND ADJUSTMENTS

CrowdPays™ may withhold, reverse, or adjust commissions in cases of:

  • Fraud or misrepresentation

  • Client chargebacks

  • Duplicate or self-referrals

  • Violation of this Agreement

7. INDEPENDENT CONTRACTOR STATUS

Affiliate is an independent contractor, not an employee, partner, agent, or representative of CrowdPays™.

Affiliate is solely responsible for:

  • All taxes

  • Insurance

  • Licensing or compliance obligations

8. INTELLECTUAL PROPERTY & MARKS

Affiliate is granted a limited, revocable license to use CrowdPays™ branding only for approved marketing purposes.

All goodwill and intellectual property remain the exclusive property of CrowdPays™.

9. TERM AND TERMINATION

This Agreement begins upon execution and may be terminated by either party at any time.

Upon termination:

  • All licenses immediately cease

  • Unpaid commissions earned prior to termination will be paid if valid

  • No future commissions accrue

10. CONFIDENTIALITY

Affiliate agrees to protect all non-public Company information during and after the term of this Agreement.

11. DISCLAIMERS & LIMITATION OF LIABILITY

(Retains your existing Sections 7 & 8 with no substantive change.)

12. GOVERNING LAW, VENUE & DISPUTE RESOLUTION

This Agreement is governed by the laws of the State of Georgia and subject to binding arbitration, as previously defined.

13. ENTIRE AGREEMENT

This Agreement supersedes all prior affiliate, referral, or promotional agreements and represents the entire agreement between the parties.
